1. Operating Model & Agency Status
Onyx Facility Management LLC ("Onyx") operates as a facility management coordinator and authorized managing agent for commercial property owners, enterprise clients, and facility operators. Onyx provides the FacilityVibe software platform and related management services to streamline work order routing, vendor compliance, and payment facilitation.
Onyx is not a general contractor, construction manager, or trade contractor. Onyx does not self-perform construction, repair, or maintenance work. All physical trade work, including but not limited to HVAC/R, electrical, plumbing, roofing, and general building maintenance, is performed exclusively by independent, third-party licensed contractors ("Vendors") within the FacilityVibe network.
2. Vendor Licensing & Compliance
Onyx is committed to ensuring that all work dispatched through the FacilityVibe platform is performed by qualified professionals.
As a condition of participation in the FacilityVibe network, all independent Vendors must:
- Maintain active, valid trade licenses, registrations, and permits required by the specific state, county, and municipal jurisdictions where they perform work.
- Maintain minimum required insurance coverages, including Commercial General Liability and Workers' Compensation.
- Adhere to all applicable building codes, safety regulations, and Occupational Safety and Health Administration (OSHA) standards.
While Onyx utilizes the FacilityVibe platform to track and verify Vendor credentials prior to dispatch, Onyx acts solely as a facilitator. The independent Vendor remains solely responsible and liable for the legal compliance, safety, and quality of the work performed.
3. Payment Facilitation
Onyx operates on a transparent, pass-through billing model. When Onyx collects funds from a client for work performed by a Vendor, Onyx does so strictly in its capacity as a payment facilitator and agent for the client. Onyx remits these funds to the independent Vendor in accordance with the terms of the FacilityVibe Vendor Onboarding Agreement.
Onyx's collection and remittance of funds does not alter its status as an owner's agent, nor does it establish Onyx as a prime contractor or employer of the Vendor.
4. State-Specific Disclosures
The regulations governing facility management and contractor licensing vary by jurisdiction. Onyx complies with the specific requirements of the states in which it operates, including but not limited to Nevada, Texas, Colorado, California, and Arizona.
- Nevada: Onyx operates pursuant to the exemptions and agency principles recognized under Nevada Revised Statutes (NRS) Chapter 624, acting as an authorized representative of the property owner to coordinate licensed trade professionals.
- California: Onyx acts strictly as an owner's agent and property manager for the coordination of maintenance services. All contracts for work requiring a license under the Contractors State License Law (Business and Professions Code § 7000 et seq.) are executed by properly licensed independent contractors.

1. Our Service
OnyxFM provides facility management services, including preventive maintenance coordination, vendor management, emergency response, and monthly reporting. We act as a service coordinator and manager. we do not typically perform physical trades work ourselves.
2. Monthly Service Agreements
- All recurring services are governed by a separate Service Agreement.
- Monthly fees are billed in advance.
- You are responsible for all pass-through costs for repairs, parts, and vendor labor.
3. Response Times
- Emergency service: 2-hour response guarantee (for active clients)
- Standard service: 48-hour response target
4. Client Responsibilities
- Provide access to properties when needed
- Approve major repair costs in a timely manner
- Maintain accurate property information
5. Limitation of Liability
OnyxFM's liability is limited to the amount paid for services in the preceding 12 months. We are not liable for indirect, consequential, or punitive damages.
6. Termination
Either party may terminate a monthly service agreement with 30 days written notice.
7. Governing Law
These terms are governed by the laws of the State of California.
